Tennally Corporation Terms of Use

The Site is intended for general informational and business-development purposes — to describe Tennally's bookkeeping, controller, and CFO services, M&A advisory services, and investment activities, and to allow visitors to contact us. It is not a client portal and does not itself deliver any services.
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.

1. No Client Relationship Created by the Site
Use of the Site does not create a client, advisory, fiduciary, or other professional relationship between you and Tennally. Any bookkeeping, controller, CFO, M&A advisory, or investment relationship with Tennally is governed exclusively by a separate signed engagement letter, services agreement, or investment documents, as applicable, and not by these Terms.

2. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher) and legally capable of entering into a binding contract to use the Site. If you are using the Site on behalf of a company or organization, you represent that you are authorized to bind that organization to these Terms.

3. Permitted Use & Restrictions
Subject to these Terms, Tennally grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own informational purposes. You agree not to:
•    Violate any applicable law or third party's rights, including intellectual property or privacy rights
•    Use the Site for any fraudulent, harmful, or deceptive purpose
•    Interfere with the normal functioning or security of the Site, including through malware, scraping, or overloading
•    Use automated tools (bots, scrapers, crawlers) to access or copy the Site's content, other than standard search-engine indexing
•    Copy, reproduce, distribute, or create derivative works from Site content without our prior written consent
•    Misrepresent your identity or affiliation with any person or organization
We may monitor, restrict, or suspend access to the Site at any time, in our discretion.

4. Intellectual Property
All content on the Site — including text, graphics, logos, and underlying code — is owned by Tennally or its licensors and is protected by copyright, trademark, and other applicable laws. You may not use, copy, modify, or distribute Site content without our prior written permission, except as expressly permitted by these Terms.
If you send us feedback, suggestions, or ideas about the Site, you agree that we may use them without restriction or compensation to you.

5. No Professional, Investment, or Financial Advice
Content on the Site is provided for general informational purposes only and does not constitute accounting, tax, legal, financial, or investment advice, and should not be relied upon as such. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment interest, and any such offer, if made, will only be made through definitive investment documents provided directly to qualified prospective investors. You should consult your own professional advisors before making any financial, tax, legal, or investment decision.

6. Third-Party Links
The Site may link to third-party websites for your convenience. We do not control and are not responsible for the content, terms, or privacy practices of any third-party site. Use of any third-party site is at your own risk.

7. Privacy
Our Privacy Policy describes how we collect, use, and disclose information in connection with the Site and is incorporated into these Terms by reference.

8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TENNALLY DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENNALLY AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50).

10. Indemnification
You agree to indemnify and hold Tennally harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

11. Changes to These Terms
We may revise these Terms at any time by posting an updated version on this page with a new effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

12. Termination
We may suspend or restrict your access to the Site at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law and Venue
These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site shall be brought exclusively in the courts located in the District of Columbia, and you consent to the personal jurisdiction of those courts.

14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tennally regarding the Site and supersede any prior agreements or understandings regarding the Site.
